Asset sale vs. stock sale
Whether you buy the company's assets or the company itself, shares and all.
Why it matters to you
Buyers almost always want an asset sale: you leave the liabilities behind and get a fresh tax basis. Sellers usually prefer a stock sale for tax reasons. This is a real negotiation with real money in it, and it should be settled in the letter of intent rather than discovered at closing.
